Like the SAFE, a KISS (Keep It Simple Security) financing document is designed to replace traditional Convertible Promissory Notes. The KISS document is inherently straightforward, providing easily-understood terms within a structure that discourages (or eliminates) the customization that makes Convertible Promissory Notes needlessly complex for both your startup and its investor(s).
The Form KISS Equity Version has a standard maturity of 18 months, however unlike the Form KISS Debt Version, it harbors no interest rate. Conversion of the KISS into shares of Shadow Series Preferred Stock occurs if a negotiated minimum amount, usually $1,000,000.00, is reached in an equity financing round.
